tippin' Service Terms and Conditions
I. General Provisions

These Terms and Conditions govern the provision of electronic services by the tippin' service (hereinafter: "Service" or "tippin'").

The owner and operator of the Service is Houda Tomasz Watras with registered office in Katowice, at ul. Żelazna 2, 40-851 Katowice, NIP 6292324622, REGON 521571765, conducting business activity in the form of individual business activity (hereinafter: "Operator").

The tippin' service is a technological platform (software) enabling electronic tipping for service providers in the gastronomy, beauty, internet content creators, and other sectors where tips may be received as part of work.
The Operator acts solely as a software provider and does not provide payment services within the meaning of the Polish Payment Services Act of August 19, 2011. In particular, the Operator:
- does not accept funds from Clients,
- does not store Users' funds,
- does not transfer or mediate in the transfer of funds between Clients and Users,
- does not maintain payment accounts,
- does not have access to funds held in Users' Stripe accounts.
The sole entity providing payment services within the Service is Stripe Technology Europe Ltd. (hereinafter: "Stripe"). Funds paid by Clients are transferred directly to the User's individual payment account maintained by Stripe, without the Operator's intermediation. The Operator is not a party to the payment transaction or the agreement between the User and the Client regarding services provided.

Definitions:
- User - a natural person performing work in the service sector who may receive tips as part of their work, in particular:
- waiters and waitresses
- baristas
- hairdressers
- beauticians and cosmetologists
- persons performing care treatments
- internet content creators (influencers)
- and other persons providing services where tips are customarily accepted
- Client - a person making a tip through the Service
- Stripe Connect - an external payment system managed by Stripe, enabling direct transfer of funds from Clients to Users' individual accounts. Stripe acts as an independent, licensed payment operator and data processor
- User's Stripe Account - the User's individual payment account maintained by Stripe, to which funds from Clients are transferred directly. The account is owned by the User and managed exclusively by Stripe. The Operator does not have access to funds in this account
- QR Code - a unique code assigned to a User, enabling redirection to the payment page
- Tips Pool – a functionality available in the older billing version (Basic Plan). Displays the balance of funds held in the User's Stripe account. The Operator is not the depositary of these funds
- User - a natural person performing work in the service sector who may receive tips as part of their work, in particular:

Stripe as the sole payment service provider:
- All payments in the Service are processed exclusively by Stripe
- Stripe is a regulated entity authorized to provide payment services within the European Economic Area (e-money institution license issued by the Central Bank of Ireland)
- Users and Clients enter into a direct relationship with Stripe regarding payment services
- Funds paid by Clients are transferred directly to the User's Stripe Account — the Operator does not take possession of these funds at any point
- The Operator does not store or process payment card data
- The Operator does not maintain any technical or collective account where Users' funds would be held
II. Terms of Service Use

The Service may be used as a User only by natural persons who:
- Are at least 18 years old
- Have full legal capacity
- Provide services in the gastronomy, beauty sector, are internet content creators, or perform other work where tips are customarily accepted
- Have accepted these Terms and Conditions
- Have successfully completed the verification process in the Stripe Connect system

Using the Service as a Client does not require registration or age verification.

The Service provides services in Poland. Two billing plans are available within the Service:
- Direct Plan (default) — funds are transferred directly to the User's Stripe Account and are available for withdrawal at any time, without minimum thresholds. Payment processing fees are charged by Stripe directly from the User's account.
- Basic Plan (legacy) — funds are accumulated in tip pools and become available for withdrawal after reaching the threshold (50 PLN for individual users, 10 PLN for businesses).

Additional features for business users:
- Ability to attach a digital menu in the form of a file or external link
- Integration with Google rating system, enabling collection of customer reviews
- A dedicated page accessible via a unique QR code, which offers:
- Menu preview
- Ability to leave a Google review
- Tip transfer
- Access to business social media
- Other information published by the establishment
- Ability to customize the profile page
- Analytics and statistics regarding page visits and received tips
III. Registration and Verification

The User registration process includes:
- Creating an account in the Service by providing an email address and full name
- Completing the verification process in the Stripe Connect system
- Providing additional data required by Stripe Connect, including:
- phone number
- residential address
- bank account number
- information about the profession performed (must select an appropriate category: gastronomy, beauty, internet content creator, or other)

Verification in the Stripe Connect system:
- Is conducted in accordance with Stripe's procedures and requirements
- May require additional documents confirming identity
- Is a necessary condition to start accepting payments
- May be updated or conducted again at Stripe's request

The User is obliged to:
- Provide true and current data
- Immediately update data in case of changes
- Not share their account with third parties
- Secure login data against unauthorized access
- Independently initiate withdrawals of funds held in the User's Stripe Account in accordance with the terms of the selected billing plan

Stripe Connect and agreement with payment service provider:
- a) The User, by starting to use the Service, enters into a direct agreement with Stripe Technology Europe Limited ("Stripe")
- b) The User is obliged to comply with the Stripe Connect terms available at stripe.com
- c) Stripe has the right to:
- Refuse to provide services
- Freeze funds in case of suspected fraud
- Request additional verification
- Close the account without prior notice in case of terms violation
- d) The Operator is not responsible for Stripe's decisions regarding the provision of payment services
IV. Rules for Tipping

Tipping process:
- Client scans the User's QR code or uses the provided link
- Selects the tip amount
- Makes payment using available payment methods

Transaction limits:
- Minimum tip: 4 PLN
- Maximum tip: 600 PLN

Commissions and fees:
a) Direct Plan (default):
- The Operator does not charge any commission on transactions
- The only fee is the payment processing fee charged by Stripe directly from the User's Stripe Account (approx. 1 PLN + 1.5% per transaction — exact amount specified in Stripe's terms)
- The Client has an optional ability to voluntarily support tippin' platform development (Tippin Support) — this is solely a voluntary donation, unrelated to the payment service
- The Client may cover the Stripe fee, so the User receives the full tip amount
b) Basic Plan (legacy, for existing Users):
- Each transaction is charged a total fee of 0.89 PLN + 4.5%, which includes the Stripe fee and the Operator's service fee
- The Client has the option to cover part of the fee (+0.89 PLN), which goes directly to the tip recipient
- Users on the Basic Plan may switch to the Direct Plan at any time
c) Common fees:
- Business users are charged a one-time implementation fee of 200 PLN
- The Operator may waive the implementation fee in individual cases

Legal status of funds:
- Funds paid by Clients are transferred directly to the User's individual Stripe Account, without the Operator's intermediation
- The Operator does not take possession of Users' funds at any stage of the transaction
- The Operator does not maintain technical or collective accounts where Users' funds would be held
- Funds held in the User's Stripe Account are fully owned by the User and are subject to the terms of the agreement between the User and Stripe
- The Client's obligation to the User for the tip is considered fulfilled upon crediting of funds to the User's Stripe Account
- The Operator maintains only informational records (transaction metadata) for statistical and auxiliary purposes — this does not constitute a record of monetary funds

Fund withdrawals:
a) Direct Plan:
- Funds held in the User's Stripe Account are available for withdrawal at any time, without minimum thresholds
- Withdrawal of funds requires submission of a withdrawal order by the User in the Service panel
- The withdrawal order is forwarded to Stripe, which executes the transfer to the User's bank account
- Withdrawal processing time depends on Stripe and the User's bank (typically 2-7 business days)
b) Basic Plan:
- Tips are accumulated in pools; withdrawal is possible after reaching the threshold (50 PLN for individual users, 10 PLN for businesses)
- Thresholds are of a technical nature and result from transfer cost optimization
- Funds below the threshold remain the property of the User and are securely stored by Stripe
c) Common provisions:
- Funds are transferred directly to the User's bank account provided in the Stripe Connect system
- The Operator does not participate in the withdrawal process — it is carried out entirely by Stripe
- Any delays or issues with withdrawals are the responsibility of Stripe or the User's bank

Payment methods:
- a) The Service enables payments using:
- Payment cards (credit and debit)
- BLIK
- Apple Pay
- Google Pay
- Przelewy24
- b) Using Apple Pay:
- Requires an Apple device with an active Apple Pay service
- Is subject to additional Apple Pay terms of use
- Apple Inc. is not responsible for the Service's operation
- Apple Pay is a trademark of Apple Inc.
- c) Using Google Pay:
- Requires a device with an active Google Pay service
- Is subject to additional Google Pay terms of use
- Google LLC is not responsible for the Service's operation
- Google Pay is a trademark of Google LLC
- d) Using Przelewy24:
- Enables payment via bank transfer
- Is subject to Przelewy24 terms of use specified by PayPro S.A.
- PayPro S.A. is not responsible for the Service's operation
- Przelewy24 is a trademark of PayPro S.A.
- e) Payment security:
- All payments are encrypted
- The Service does not store payment card data
- Payment data is processed directly by Stripe
- f) Refunds and transaction cancellation:
- Tips made through the Service are not refundable
- In case of technical error or mistaken transaction, a complaint must be filed within 14 days
- In case of transaction errors, the Operator supports the User in the complaint process conducted by Stripe. The final decision on refund belongs to the payment service provider (Stripe)
- In case of positive complaint resolution, funds will be returned to the account from which the payment was made
- Refund processing time depends on the payment operator and Client's bank
- a) The Service enables payments using:

Forms of tipping:
- directly after service provision (e.g., in gastronomy or beauty)
- as appreciation for created content (in case of internet content creators)
- in other forms corresponding to the nature of services provided

No right to withdraw from the agreement:
- Due to the nature of the service, after clicking the "Pay" button and processing the payment, it is not possible to withdraw from the agreement
- The transaction is executed immediately, and funds are transferred to the User's Stripe Account
- Pursuant to Art. 38(1) of the Consumer Rights Act, the right to withdraw from a distance contract does not apply to contracts for the provision of services where the entrepreneur has fully performed the service with the consumer's explicit consent

Staff management by business user:
- Business user can add and remove staff members through the admin panel
- Business user bears full responsibility for staff data entered into the system
- Adding a staff member requires providing their basic data and email address
- Business user is obliged to update the staff list in case of personnel changes
- The system enables assignment of unique identifiers for individual staff members

Fund withdrawals from business pools:
- Tips accumulated in the business pool can be withdrawn to the business user's company account or directly to the accounts of associated employees
- Access to withdrawal function to employee accounts requires prior addition to the system in the admin panel
- Business user is responsible for correct assignment of withdrawals to appropriate persons
- Withdrawals to employee accounts are subject to the same processing periods as standard withdrawals
- Business user is responsible for all tax obligations related to staff payments
- Percentage distribution of tips for businesses:
- The system enables business user to configure percentage distribution of tips among employees
- Percentage distribution configuration is done in the admin panel
- Business user can assign different percentage values to different employees or employee groups
- The sum of percentage values for all employees must equal 100%
- Percentage distribution can be modified by business user at any time, but changes apply only to tips received after modification
- The distribution of tips within the Business is performed automatically by Stripe algorithms based on technical instructions sent by the Business User. The Operator does not participate in the process of approving individual transfers to employees
V. Rights and Obligations of the Parties

The Operator is obliged to:
- Ensure Service availability
- Secure User data
- Provide technical support regarding Service operation
- Inform about planned technical breaks

The User is obliged to:
- Comply with the provisions of these Terms and Conditions
- Not take actions harmful to the Service and other Users
- Immediately report any irregularities in Service operation
- Comply with marketing and promotion rules specified in the Terms and Conditions

Prohibited types of activity:
- The User may not use the Service in connection with activity:
- Related to pornographic content or sexual services
- Gambling or organizing lotteries without required permits
- Related to drug sales, psychotropic substances, or prescription pharmaceutical products
- Offering counterfeit goods or services infringing intellectual property rights
- Related to digital currency or cryptocurrencies
- Offering high-risk financial services (e.g., short-term loans, debt collection)
- Selling or promoting weapons, ammunition, or explosives
- Offering fortune-telling or esoteric services
- This list is not exhaustive and may be updated in accordance with Stripe's policy
- The Operator reserves the right to immediately suspend the User's account in case of detecting activity inconsistent with the terms
- The User may not use the Service in connection with activity:

The Operator reserves the right to:
- Temporarily limit access to the Service for technical maintenance
- Suspend or delete the User's account in case of Terms violation
- Introduce changes to Service operation
- Refuse to provide services without stating reasons

Exclusion of liability:
- a) Disputes between User and Client regarding tips
- b) Payment withdrawal issues on Stripe's side, including:
- Withdrawal delays
- Fund freezing
- Additional verifications
- c) Stripe's refusal to provide services
- d) Regulatory body decisions regarding Stripe or User
- e) Tax consequences of using the Service
- f) Technical issues independent of the Operator

Liability for content and rights infringement:
- User bears full responsibility for content published in the Service
- User is obliged not to publish content:
- Infringing copyright or other intellectual property rights
- Infringing personal rights of third parties
- Containing offensive, discriminatory, or hate-inciting content
- Containing malicious software or links to such content
- Promoting illegal activity
- In case of receiving official notification about illegal nature of content, the Operator will immediately prevent access to such content
- If the User violates the above rules, the Operator has the right to:
- Remove disputed content
- Suspend or delete the User's account
- Notify appropriate authorities about law violation
VI. Marketing and Promotion

The User may promote their profile and QR code while following these rules:
- a) General rules:
- Prohibition of misleading information about commissions and fees
- Prohibition of using other persons' image without their consent
- Prohibition of actions violating good customs
- b) Rules for gastronomy sector:
- Prohibition of suggesting official connection with the establishment without its consent
- Prohibition of placing QR codes on establishment equipment without owner's consent
- c) Rules for beauty sector:
- Prohibition of suggesting official connection with the salon without its consent
- Possibility of placing QR code at service provision location with owner's consent
- d) Rules for internet content creators:
- Obligation to clearly mark links and QR codes as serving for tip transfer
- Prohibition of misleading promotion of tips as payment for specific services
- Prohibition of conditioning access to content on making a tip
- a) General rules:

The Operator reserves the right to:
- Verify Users' marketing activities
- Demand cessation of unauthorized promotional activities
- Suspend account in case of marketing rules violations
VII. Intellectual Property

All intellectual property rights to the Service, including:
- tippin' name and logo
- Interface graphic elements
- Source code
- Marketing content and materials belong to the Operator or are used under appropriate licenses.

Content published by Users:
- All content published by business users (including menus, descriptions, photos, logos) remains their property
- User, by publishing content in the Service, grants the Operator a non-exclusive, free license to use such content for the purpose of providing Service services, including:
- Publishing content within the User's profile
- Displaying content on the page accessible via QR code
- Using for Service marketing and promotional purposes (with User's prior consent)
- User declares that they have all rights to published content and its publication does not infringe third parties' rights
- The Operator has the right to remove content infringing third parties' rights or legal regulations
VIII. Personal Data Protection

Data controller:
- The Operator is the controller of Users' personal data
- Stripe is the controller for data processed in the Stripe Connect system

- Identification data (name, surname, email)
- Contact data (phone number, address)
- Settlement data (bank account number)
- Transaction data (stored in Stripe system)

Processing purposes:
- Providing Service services
- User verification
- Financial settlements
- Transaction security
- Direct marketing of own services

Rights of data subjects:
- Access to data
- Data rectification
- Data erasure
- Processing restriction
- Data portability
- Object to processing

Data retention period:
- Account data: for the period of account possession and up to 5 years after its deletion
- Transaction data: according to Stripe's policy
- Settlement data: according to legal requirements (5 years)

IX. Complaints and Dispute Resolution

The User has the right to file a complaint regarding the operation of the Service.

Complaint handling:
- Deadline: within 30 days from submission
- Response form: same as submission form
- In case of complex matters, the deadline may be extended

Payment disputes:
- Are handled according to Stripe's procedures
- The Operator is not a party to the transaction
- The Operator may mediate communication with Stripe

Competent court:
- Court competent for the Operator's registered office
- For consumers - court competent according to general provisions
X. Force Majeure

The parties shall not be liable for non-performance or improper performance of obligations arising from the Terms and Conditions if caused by force majeure.

Force majeure shall be understood as events:
- External
- Impossible to foresee
- Whose effects cannot be prevented
- In particular: natural disasters, wars, strikes, IT system failures independent of the Operator

The party invoking force majeure is obliged to inform the other party about its occurrence and cessation.
XI. Taxes and Accounting Obligations

Tax liability:
- a) The User is obliged to:
- Independently settle income tax on received tips
- Include received tips in annual tax return as income from other sources (Art. 20(1) of the PIT Act)
- Keep history of received tips for tax purposes
- a) The User is obliged to:

Reporting:
- a) The Service provides monthly summaries of received tips
- b) Summaries are auxiliary for tax settlement purposes
- c) The User should verify consistency of summaries with actual inflows

Stripe as reporting entity:
- a) Stripe may transfer transaction information to appropriate tax authorities
- b) The User consents to such reporting
- c) The User may be requested by Stripe to provide additional information or documents required by law, including tax regulations and money laundering prevention regulations
XII. Terms and Conditions Changes

The Operator has the right to change the Terms and Conditions in case of:
- Legal or regulatory changes
- Introduction of new functionalities
- Payment system modifications
- Technological changes
- Changes in scope of services provided

Users will be informed about any Terms and Conditions changes at least 14 days in advance.

Changes enter into force on the date indicated by the Operator.

Non-acceptance of Terms and Conditions changes is equivalent to resignation from using the Service.
XIII. Final Provisions

These Terms and Conditions enter into force on March 9, 2026.

Polish law shall apply to matters not regulated herein.

Invalidity of individual provisions does not affect the validity of the entire Terms and Conditions.
